1. Definitions

“Adoura.ai”, “we”, “our” or “us” refers to the company (Corelabs LTD) providing the Adoura.ai SaaS platform.

“Service” refers to Adoura.ai’s AI-based messaging software, website, and any related services.

“User”, “you” or “your” refers to any person accessing or using the Service.

2. Acceptance of Terms

By accessing or using the Service, you agree to be legally bound by these Terms of Service. If you do not agree, you must not use the Service.

3. Eligibility and Account Registration

You must be at least sixteen (16) years old if residing in the United Kingdom or European Union, or at least thirteen (13) years old if residing in the United States, to create an account and use the Service.

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4. Subscriptions, Billing & Payments

The Service is offered on a subscription basis, with free and paid tiers. Paid subscriptions are billed through Stripe in USD.

• Auto-renewal: Subscriptions automatically renew unless cancelled by you prior to renewal.
• No refunds: All payments are final. We do not issue refunds under any circumstances.
• Cancellation: You may cancel your subscription at any time through your account dashboard. Access will continue until the end of the billing period.
• Tiers: Subscription plans may include different features or usage limits.

5. License and Access Rights

Subject to these Terms, Adoura.ai grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.

6. User Content & AI Outputs

You may submit inputs or content to the Service. You are solely responsible for such content.

Adoura.ai may, at its discretion, remove any content or suspend accounts that violate these Terms, applicable law, or community standards, including abusive, illegal, or harmful content.

Neither Adoura.ai nor users claim intellectual property ownership over AI-generated outputs. You may use outputs for lawful purposes, but Adoura.ai disclaims liability arising from such use.

7. Prohibited Uses

You agree not to:

• Use the Service for any unlawful, harmful, fraudulent, or abusive purpose;
• Reverse engineer, decompile, or otherwise attempt to derive source code from the Service;
• Share accounts, resell access, or circumvent usage limits;
• Interfere with or disrupt the Service or servers;
• Use the Service for purposes not permitted by these Terms.

8. Termination & Suspension

You may terminate your account at any time by following the instructions in your dashboard.

We may suspend or terminate your account immediately if you breach these Terms, misuse the Service, or engage in prohibited conduct.

9. Intellectual Property

All rights, title, and interest in and to the Service, including software, trademarks, and branding, remain the exclusive property of Adoura.ai. No rights are granted except as expressly provided.

10. Disclaimers & Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose, non-infringement, and uninterrupted availability.

No refunds: All fees are final and non-refundable.

11. Limitation of Liability

To the fullest extent permitted by law, Adoura.ai and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

Adoura.ai’s total liability for any claim arising from the Service shall not exceed the total fees you paid in the six (6) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Adoura.ai, its affiliates, and employees from any claim, liability, damages, or expenses arising out of your misuse of the Service, violation of these Terms, or infringement of third-party rights.

13. Privacy Policy

Your use of the Service is subject to our Privacy Policy, which is incorporated by reference into these Terms.

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any dispute.

15. Changes to Terms

We may modify these Terms at any time. Notice of changes will be provided by email. Your continued use of the Service after changes take effect constitutes acceptance.

16. Miscellaneous

• Severability: If any provision is invalid, the remainder remains in effect.
• No Waiver: Our failure to enforce any right does not constitute a waiver.
• Assignment: You may not assign rights or obligations without our consent; we may assign freely.
• Force Majeure: We are not liable for delays or failures due to causes beyond our reasonable control.
